I take referrals from accountants, insurance brokers, corporate finance advisers and other professionals whose clients need commercial legal work. Fees are fixed and published, so you can tell a client the cost before you introduce them, and there are no referral fees in either direction.

You see the trigger events before anybody else does. The client taking on a business partner. The one who has just been sent a fifty page reseller agreement. The one whose contractor arrangements will not survive the first serious look during a sale.

What is often missing is somewhere sensible to send them. Large firms are expensive and slow for this kind of work. Small firms may not have the commercial depth. Template providers cannot advise at all.

My commitments to you

  • I will not compete with you or offer services that overlap with yours
  • I will not take over the client relationship. You introduced them and they remain yours
  • I will keep you informed to whatever extent the client is happy for me to
  • I will come back to your client promptly, so nothing sits waiting
  • I will refer work back to you where a client needs accounting, tax or financial advice
  • No referral fees in either direction, which keeps it clean and means you can recommend me without qualification

Where I am most useful to your clients

How an introduction works

  1. Send an introduction by email, or simply forward my price list.
  2. I respond to the client the same or next working day, and confirm a fixed price before they commit to anything, with a free initial call if it would help.
  3. I invoice the client directly and do the work. Nothing passes through you.

Questions I am often asked

Will you try to sell my client other services?

I will do the work they came for and tell them if I see something else that needs attention, which I would expect any adviser to do. I will not market at them, and I will not offer anything that competes with what you do.

Do you pay referral fees?

No, and I do not ask for them either. It keeps the arrangement straightforward, avoids any question about whose interests are being served, and means you can recommend me without qualification.

What if my client has a dispute or needs a property transaction?

I focus on commercial and corporate work, so litigation and conveyancing go elsewhere. I will say so straight away and, where I can, point them to somebody who handles it.

Can I sit in on the advice?

Gladly, if the client is happy with that. For shareholder discussions in particular, having the accountant in the room usually improves the outcome, because the tax and the legal structure need to work together.

Do you want a formal introducer agreement?

Not necessary given there are no fees passing either way, but I am happy to put something short in place if your firm prefers it.

About me

I am Geoffrey Caesar. I have worked on commercial contracts since 2001, first in industry and then in private practice, so I have sat on both sides of the table: as the in-house lawyer who has to live with the contract, and as the external adviser who drafts it.

  • Solicitor of England and Wales, admitted 2008. SRA ID 483394.
  • Practising as an SRA-regulated freelance solicitor under regulation 10.2(b) of the SRA Authorisation of Individuals Regulations. Practice SRA number 666497.
  • Regulated by the Solicitors Regulation Authority and authorised to provide all legal services, including reserved legal activities.
  • Called to the Bar by Gray's Inn in 2005.
  • Working on commercial contracts since 2001, in-house and in private practice.
  • Based in London, acting for businesses across England and Wales.
  • Professional indemnity insurance in place with a limit of £1,000,000 for each claim, with defence costs in addition. Details on request.

Two things you should know about instructing a freelance solicitor rather than a law firm. My professional indemnity insurance is not on the SRA's minimum terms and conditions; alternative arrangements are in place instead, and I will give you the details on request. And you can still apply to the SRA Compensation Fund for losses caused by dishonesty or a failure to account for money. Everything else, including the Code of Conduct, the SRA Principles and the Legal Ombudsman, applies to me exactly as it applies to any other solicitor.
