Start & Structure Your Business

Every business stands on its founding documents. Articles of association, shareholders' agreements, partnership and LLP agreements, and the corporate housekeeping that sits behind them set the rules for how the business is owned, governed, and one day exited. The services in this section help you put that foundation in place at incorporation, refresh it before a funding round or sale, or update it when the business has grown beyond the structure it started with.

Most of a business's commercial value sits in its contracts with customers and suppliers. Well-drafted agreements give you clarity on price, performance, and risk allocation. They also give you a clear basis for resolving disputes if they arise. Build & Manage Your Team

Hiring is one of the most consequential decisions a growing business makes, and the contractual foundations matter from the very first hire. The services in this section cover the full lifecycle: offer letters; employment contracts calibrated for junior and senior roles; consultancy agreements for self-employed engagements; the core HR policies you are expected to have in place; and settlement agreements that document an agreed exit.

I work with employers across hiring, day-to-day management, and departure, and I also act for senior employees on contract reviews. Data & Compliance

Almost every business now holds personal data and is expected to handle it lawfully. The UK General Data Protection Regulation (GDPR), the Privacy and Electronic Communications Regulations (PECR), and the related framework set the standards for privacy notices, cookie use, data sharing, international transfers, and how you respond when something goes wrong. The services in this section put the documentation, policies, and processes in place so you can demonstrate your position if a regulator, customer, or investor asks about them.

This work is most cost-effective when it is done early, sized to the business, and refreshed periodically. I cover the full set of data protection documents and the operational artefacts that sit behind them, including breach response plans, records of processing activities (ROPA), and data subject access request (DSAR) support. I also cover the know-your-customer (KYC) and anti-money-laundering (AML) compliance requirements that regulated sectors must maintain.

IP & Brand Protection

Intellectual property (IP) is among the most valuable assets that businesses own and is often among the least well-documented. The services in this section put your IP position on a clear footing: documented ownership of the work created by founders, employees, and contractors; licences for using third-party IP and for letting others use yours; trademark co-existence where it is needed; and prompt action where someone is using your IP without permission.

An IP audit at the right moment, typically before a funding round or sale, surfaces gaps in time to fix them. Non-disclosure agreements (NDAs) and IP assignments handle the day-to-day flow of confidential information and ownership. Cease-and-desist correspondence is the right first step when a problem has already arisen.

Technology & AI

Technology contracts and artificial intelligence (AI) governance are a fast-evolving area where the legal framework has changed materially in the past two years and continues to do so. The services in this section cover the contracts that businesses building, buying, or deploying technology need: software-as-a-service (SaaS) terms, software licences, managed services agreements, and the technology escrow advice that accompanies them.

On the AI side, I help businesses put workable governance in place, assess their position under the EU AI Act where relevant, update existing contracts to address AI use, and structure procurement so that the right questions are asked of suppliers before signature. The work is calibrated for businesses that want a strong, defensible position without having to build a dedicated compliance function.

Disputes

Most commercial disputes can be resolved without proceedings, and the right legal advice early is often what makes that possible.
